Westchester Advises Fernhart in Sale to NETB2B2 plc -- Successful sale of leading digital TV and Web services provider

LONDON - September 19, 2005 - Westchester Associates Limited (www.westchester.co.uk) today announced that it advised Fernhart New Media Limited ("Fernhart") in its acquisition by NETB2B2 PLC ("NETB2B2"). Under the terms of the agreement NETB2B2 will acquire all of the issued share capital of Fernhart for a total consideration of up to £2.5 million to be satisfied by a mixture of cash and shares.

Fernhart is a UK-based Digital Media business that has built a particularly strong service offering in the Interactive TV sector. The company designs, builds and maintains web sites and interactive television services for small, medium and large businesses. It has built a particularly strong service offering in the Interactive TV sector, where it designs, hosts, supports and maintains web sites and interactive television services for a range of blue chip clients including: BSKYB plc, and Sporting Index - The Worlds Leading Sports Spread Betting Company. In addition to the broadcast media market, other markets served include financial services, gaming, public service and institutional, insurance and property.
